These Terms & Conditions ("Terms") govern your access to and use of the FormulaV website (the "Site") and your purchase of any products offered through it. The Site is operated by FormulaV LLC, a Florida limited liability company ("FormulaV," "we," "us," or "our"). By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Eligibility

You must be at least 21 years of age and have the legal capacity to enter into a binding contract in order to use the Site or place an order. By using the Site, you represent that you are acquiring our products in a professional, academic, or research capacity and that you are qualified to handle research materials safely and lawfully.

Account registration may ask you to identify your professional context (for example, Researcher, Medical Student, or Scientist). You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials.

2. Research-Use-Only Products

Every product offered on the Site is supplied solely for laboratory research and analytical purposes. You expressly agree that you will not:

• administer, ingest, inject, or otherwise introduce any product into the body of any human or animal;
• use any product as a drug, food, supplement, cosmetic, or medical device, or in any clinical, diagnostic, or therapeutic setting;
• resell, repackage, or distribute any product for any of the purposes above; or
• represent to any third party that our products are intended for any use other than research.

You assume full responsibility for the safe handling, storage, use, and disposal of all products in accordance with applicable laws, regulations, and good laboratory practice.

3. No Medical Claims; Regulatory Status

The information and statements on the Site have not been evaluated by the U.S. Food and Drug Administration or any comparable regulatory authority. Our products are not intended to diagnose, treat, cure, or prevent any disease or condition. Nothing on the Site constitutes medical, clinical, or professional advice, and no product is offered or sold as a therapeutic agent.

4. Product Information and Certificates of Analysis

We make reasonable efforts to ensure that product descriptions, specifications, purity figures, and Certificates of Analysis are accurate. Such information is provided for reference only and may be updated without notice. We do not warrant that any description, specification, or other content is complete, current, or error-free. To the extent permitted by law, products are supplied on an "as is" basis without any warranty of fitness for a particular purpose.

5. Orders, Pricing, and Payment

All orders are subject to acceptance and product availability. We reserve the right to refuse, cancel, or limit any order at our discretion, including where we suspect that a product may be intended for a prohibited use. Prices are listed in U.S. dollars and may change without notice. You are responsible for providing valid payment information and for any taxes or charges associated with your order.

5.1 Standing Orders and Memberships (Recurring Payments)

Standing orders (compound bundles). A standing order is a recurring monthly shipment of the four research compounds you select, billed automatically each month on the date shown at checkout and in your account. Standing orders have a minimum term of two monthly shipments: the initial order and one renewal. A standing order cannot be cancelled before its second shipment has been billed. Once it has, you may cancel at any time from your account page or by emailing support@formulavpharmaceuticals.com, and no further shipments will be billed. Cancellation requests made fewer than three business days before a billing date may not stop that charge, and that shipment will still be sent. You may change the compounds in your standing order at any time; changes made fewer than three business days before a billing date apply from the following shipment. Standing orders are billed by recurring bank debit. You may also instruct your own bank to stop a payment, and we do not charge a fee for doing so. Promo codes do not apply to standing orders.

Memberships. Memberships are recurring plans billed monthly or annually, as selected, until cancelled. Monthly memberships have a minimum term of two monthly payments: the initial payment and one renewal. A monthly membership cannot be cancelled by the member before its second payment has been taken. Once it has, you may cancel at any time from your account page or by emailing support@formulavpharmaceuticals.com, and no further charges will be made. Annual memberships have no minimum term beyond the year already paid for, because a year already exceeds it. There is no cancellation fee on any plan. Cancelling stops future charges, and your plan continues to the end of the period already paid for. Changes need three business days’ notice to affect the next charge. The full membership terms are stated on the membership page and in your account.

For every recurring payment we email you before the charge, and your next billing date is shown in your account. If a renewal payment fails we do not retry the debit: a membership ends at the close of the period already paid for, and a standing order is cancelled with no further shipment or charge.

6. Shipping and Risk of Loss

Shipping methods, timelines, and responsibilities are described in our Shipping Policy. Title and risk of loss pass to you once we deliver the products to the carrier. You are responsible for ensuring that you may lawfully receive the products at your delivery address.

7. Returns and Refunds

Returns and refunds are governed by our Refund & Returns Policy. Because of the nature of research materials, many items are non-returnable once shipped.

8. Acceptable Use and Buyer Responsibility

You are solely responsible for complying with all laws and regulations that apply to your purchase, possession, handling, and use of our products in your jurisdiction. The legal status of research materials varies by location, and it is your responsibility to verify that you may lawfully order and receive a given product. You agree to hold FormulaV harmless from any consequences arising from your misuse of, or failure to lawfully handle, any product.

9. Intellectual Property

All content on the Site — including text, graphics, logos, product imagery, and the FormulaV name and branding — is owned by or licensed to FormulaV and is protected by intellectual-property laws. You may not copy, reproduce, or use any such content without our prior written permission.

10. Disclaimer of Warranties

To the fullest extent permitted by law, the Site and all products are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the fullest extent permitted by law, FormulaV and its officers, members, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss or injury arising from your use or misuse of any product, even if advised of the possibility of such damages. Our total liability for any claim relating to a product will not exceed the amount you paid for that product.

12. Indemnification

You agree to indemnify, defend, and hold harmless FormulaV and its representatives from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of any product, or your violation of any law or the rights of a third party.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Florida.

14. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
